  1. Introduction


    These Terms and Conditions (“Terms”) govern your access to and use of Ether, including our website, mobile applications, portals, and related services (collectively, the “Platform”).
    Ether (“Ether”, “we”, “us”, or “our”) is a school management and fee-collection platform operated by Universal Educon Private Limited, having its registered office at 3/2 Filka Building, Daftary Road, Malad East, Mumbai - 400 097.
    By accessing or using the Platform, you (“User”, “you”) agree to be bound by these Terms. If you do not agree, you must not use the Platform.
    These Terms apply to:

  • Schools / Educational Institutions and their authorised representatives (“Schools”)

  • Staff users (teachers, administrators, finance/IT teams, etc.)

  • Parents / Guardians / Students using Ether for communication, fee payment, and other services

  • Any other person accessing the Platform.


  1. Description of Services


    Ether provides a technology platform that may include:

  • School enterprise resource planning (ERP) modules

  • Student information and academic records management

  • Fee management and online fee collection

  • Communication tools between schools and parents / guardians

  • Integrations with payment gateway providers and banks

  • Related analytics, reporting and administrative tools
    Ether is not a bank, financial institution or non-banking financial company (NBFC). For fee payments, Ether acts as a technology service provider and payment facilitator enabling Schools to collect fees from parents/guardians/students via third-party payment gateways and banks.


  1. Relationship Between Ether, Schools and Users


    (a) Schools as Principals

  • The School is the principal and sole owner of its relationship with students, parents/guardians and staff.

  • All academic, disciplinary, admission and fee-related policies are set and controlled exclusively by the School.
    (b) Ether as Service Provider

  • Ether provides technology and operational support to the School under a separate agreement (“School Agreement”).

  • Ether does not decide or control School fee amounts, due dates, late fees, concessions, refunds or academic decisions.
    (c) Fee Collections

  • All school fees collected through Ether are collected on behalf of the respective School.

  • Ether holds such amounts only as a facilitator and settles them to the School’s designated bank account, subject to payment gateway and banking processes.

  • Any request for refunds, cancellations or changes to fee payments is governed by the respective School’s policies and instructions (see Refund & Cancellation Policy).


  1. Eligibility and Account Registration


    (a) Eligibility

  • You must have the legal capacity to enter into a binding contract under applicable law to use the Platform.

  • Parents/guardians using the Platform on behalf of minors confirm that they are legally authorised to do so.
    (b) School Accounts

  • School accounts are created under a School Agreement between Ether and the School.

  • The School is responsible for ensuring that only authorised staff have access and that they use the Platform in accordance with these Terms and applicable laws.
    (c) User Credentials

  • You must maintain the confidentiality of your login ID, password, OTP, and any authentication factors.

  • All activities performed under your account will be deemed to be undertaken by you. Notify Ether immediately in case of any suspected unauthorised access.


  1. Use of the Platform


    You agree to:

  • Use the Platform only for lawful purposes and in accordance with these Terms and applicable laws.

  • Provide true, accurate, current and complete information and keep it up to date.

  • Use the Platform only in the manner permitted by your School and Ether.
    You must not:

  • Attempt to gain unauthorised access to any accounts, systems or networks connected to the Platform.

  • Introduce any malicious code (viruses, worms, Trojan horses, etc.).

  • Copy, modify, reverse-engineer, decompile or attempt to derive the source code of the Platform.

  • Use the Platform to store or transmit unlawful, defamatory, obscene, or otherwise objectionable content.

  • Use the Platform in a way that violates any School policy or applicable law.
    Ether reserves the right to suspend or terminate access if any misuse, suspected fraud or violation of these Terms is detected.


  1. Payments and Fees


    (a) Ether Subscription Fees (for Schools)

  • Subscription, implementation and related fees payable by Schools to Ether are governed by the School Agreement.

  • Unless explicitly agreed otherwise in writing, such fees are non-refundable.
    (b) School Fees Paid by Parents/Guardians

  • Ether provides the interface for fee payment and integrates with third-party payment gateways and banks.

  • Ether does not levy any school fee; it only facilitates the collection of fees determined by the School.

  • Convenience charges, payment gateway charges, or bank charges (if any) will be displayed before payment.
    (c) Taxes

  • All fees and charges are subject to applicable taxes (e.g., GST) as per law.


  1. Third-Party Services


    The Platform may integrate with or link to third-party services such as payment gateways, SMS/e-mail providers, analytics tools, and cloud infrastructure providers.

  • Ether does not control these third-party services and is not responsible for their performance, availability, or security practices.

  • Your use of any third-party service is subject to that service’s own terms, privacy policies, and practices.


  1. Data Protection & Privacy


    Our collection, use and disclosure of personal data is described in our Privacy Policy, which forms an integral part of these Terms.
    By using the Platform, you acknowledge and agree to the practices described in the Privacy Policy, including Ether’s role as a processor/service provider for Schools and as a data controller for certain limited purposes (e.g., website analytics, support, product improvement).


  1. Intellectual Property

  • All rights, title and interest in and to the Platform, including software, design, logos, trademarks, text, graphics, and other content, are owned by Ether or its licensors.

  • Subject to your compliance with these Terms, Ether grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended educational and administrative purposes.
    You may not use Ether’s name, logos, or trademarks without prior written consent.


  1. Disclaimers

  • The Platform is provided on an “as is” and “as available” basis.

  • While Ether endeavours to provide secure and reliable services, we do not guarantee that the Platform will be uninterrupted, error-free or free of harmful components.

  • Ether does not guarantee any specific outcomes relating to academic performance, admissions, or fee concessions.


  1. . Limitation of Liability


    To the maximum extent permitted by law:

  • Ether shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, including loss of profit, loss of data, or business interruption, arising out of or in connection with your use of the Platform.

  • Ether’s aggregate liability for any claims arising from or relating to the Platform or these Terms shall be limited to the total amount of fees (if any) paid by the School to Ether for the specific service giving rise to such claim during the preceding 12 (twelve) months.
    Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.


  1. Indemnity


    You agree to indemnify and hold harmless Ether, its directors, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your use or misuse of the Platform

  • Your violation of these Terms

  • Your violation of any School policy or any law or regulation

  • Any content or data you submit, upload, or transmit through the Platform


  1. Suspension and Termination


    Ether may suspend or terminate access to the Platform, in whole or in part, if:

  • Required by applicable law or government authority

  • Requested by the School

  • There is suspected misuse, fraud, or security incident

  • You breach these Terms
    Schools may also suspend or terminate user access according to their internal policies.


  1. Changes to the Terms

    Ether may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page and, where appropriate, notify you via the Platform or email.
    Your continued use of the Platform after any update constitutes your acceptance of the revised Terms.



  2. Governing Law and Jurisdiction


    These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
    Courts at Mumbai, Maharashtra shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms or your use of the Platform.
